ENDVR SERVICES AGREEMENT
Version 1.0 posted and effective as of JANUARY 9, 2019.
This Services Agreement (together with Order Forms, Change Orders, exhibits, schedules, and amendments, the “Agreement”) is entered into as of _______________________ (the “Effective Date”) by and between [ENDVR LEGAL NAME], a company incorporated under the laws of [QC OR CANADA] with a registered office at [ADDRESS] (“ENDVR” and [NAME of COMPANY], a company incorporated under the laws of [COUNTRY] whose registered office is at [ADDRESS] (“Customer”).
The Agreement is effective on _____________ regardless of the date(s) of signature (the “Effective Date”).
WHEREAS, ENDVR offers a mobile application allowing Sales Associates to enter missions to earn rewards as such missions are created from time to time by the Customer and a web application available to Customer to manage such missions through a software-as-a-service model that includes data hosting, maintenance and support (together, the “Services”);
WHEREAS, the Customer desires to enter in this Agreement to obtain the Services as described in an order form detailing the modalities of the services performed for Customer (the “Order Form”).[VH1] [JH2]
[VH1]Because you are trying to cover various types of clients (stores, merchants, distributors and brand partners), we are not able to fully describe the functional features that will be provided to them in a generic agreement, neither it is something that should be done. Therefore, it will be important to use the Order Form to describe their specifications, accesses, financial modalities, etc. If you want, we can work together to review your template so it’s done in a way that you don’t forget anything.
[JH2]Like this approach – think generic Service Agreement for all 3 types of ‘users/clients’ of ENDVR makes the most sense, and then our Order Forms for Brands, ENDVR Plus (Retailers) and End Users will be more specific to their unique details.
